Terms and Conditions for Equipment and Data Services

These Terms and Conditions for Equipment and Data Services (this “Agreement”) is a binding contract between you (or the entity to which you are binding to this Agreement) (the “Customer”) and Clean Claims, LLC, a Utah limited liability company (the “Company”). This Agreement governs your purchase of Equipment and access to Data Services.

Acceptance of Terms

This Agreement takes effect on the date you send a signed quote, invoice, or ordering document referencing this Agreement to sales@cleanclaims.com (the “Effective Date”). By signing such a Quote, you (A) acknowledge that you have read and understand this Agreement; (B) represent and warrant that you have the authority to bind the applicable entity; and (C) accept the Agreement's terms.

Monthly Data Subscription Terms

If purchasing Data Services, Customer must initial next to the applicable terms on the Quote. By doing so:

  • Customer agrees to Section 2 of this Agreement.

  • Customer may cancel the subscription at any time by emailing sales@cleanclaims.com.

  • Charges continue until cancellation.

1. Equipment

(a) Sale: Company sells Wi-Fi hubs, hygrometers, moisture meters, and related systems as described in a Quote.

(b) Payment: Payment is due within 3 days of quote acceptance. Equipment ships only after full payment.

(c) Delivery: Company arranges shipping after payment. No guaranteed delivery date.

(d) Shipping: Customer pays shipping and insurance. Risk of loss transfers upon shipment.

2. Data Services

(a) Monthly Fee: Customer pays monthly at the then-current rate published at www.cleanclaims.com/pricelist.

(b) Access: Company provides Data Services while monthly fees are paid.

(c) Payment and Cancellation: Billed monthly. Customer may cancel anytime by emailing sales@cleanclaims.com.

(d) Reactivation: Reactivation after cancellation requires a reactivation fee (see www.cleanclaims.com/pricelist).

(e) Disclaimer: Data Services are provided by third parties. Company makes no warranties.

3. Cancellation and Refunds

Company is not obligated to honor cancellations after quote acceptance. If approved, Company may charge fees to recover costs. Payments are final.

4. Taxes

Customer pays all applicable taxes except for Company’s income tax.

5. Compliance with Laws

Customer agrees to comply with applicable laws, including export controls.

6. Product Warranty

(a) Limited Warranty: One-year warranty against material/workmanship defects, excluding misuse, damage, or unauthorized repairs.

(b) Claims: Customer must ship the defective item to the Company within 5 days of notification. If covered, Company will repair/replace or refund.

(c) Disclaimer: Services and equipment are otherwise provided "as is."

7. Term and Termination

(a) Term: This Agreement remains in effect while data services are paid.

(b) Termination:

  • Either party may terminate for breach with 30 days' notice.

  • Either party may terminate immediately for insolvency.

(c) Effect: Customer remains liable for unpaid fees.

(d) Survival: Sections 1(b), 2(e), 3-7, 8-13 survive termination.

8. Intellectual Property and Data

(a) Rights: No IP rights are transferred to Customer.

(b) Feedback: Company may use all Customer-provided feedback.

(c) Data Use: Company may use transmitted data for all purposes.

9. Confidential Information

Each party will protect the other's confidential info. Exclusions include public or previously known information. Disclosures required by law are permitted with notice.

10. Indemnification and Liability

(a) Indemnification: Customer will indemnify the Company for claims related to misuse or misconduct.

(b) Limitation: Company’s liability is limited to the amount paid in the prior 12 months. No liability for indirect damages.

11. Governing Law

This Agreement is governed by Utah law. Legal disputes will be handled in Salt Lake City, Utah.

​

12. Force Majeure

Neither party is liable for failures caused by uncontrollable events.

​

13. Miscellaneous

This Agreement is the entire agreement. Notices to sales@cleanclaims.com are deemed delivered on the next business day. Customer may not assign without consent. The Company may assign freely. No waiver of rights for delayed actions. This Agreement creates no partnership or agency.
